1. These Terms

1.1. What these Terms cover. These are the terms and conditions on which we supply Services (as defined below) to you, whether these are Services or digital content. They are a binding legal agreement between you and us that govern your use of the websites, applications, and other offerings from Uniti (collectively, the “Uniti Platform”). When used in these Terms, “Uniti,” “we,” “us,” or “our” refers to the Uniti entity set out on Schedule 1 with whom you are contracting.

1.2. Why you should read them. Please read these Terms carefully before you submit your Opportunity to us. These Terms tell you who we are, how we will provide Services to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these Terms or require any changes, please contact us to discuss.

1.3. If you do not agree to these Terms, you may not access or use the Uniti Platform. These Terms expressly supersede prior agreements or arrangements with you unless you have concluded a Corporate Member Agreement with Uniti in which case, that shall prevail in the event of a conflict.

1.4. Amendments to these Terms. Amendments shall be effective upon the posting of such terms on Uniti's platform at this location. Your continued access to the Uniti Platform and use of the Services after such positing constitutes your consent to be bound by the Terms as amended.

1.5. Personal Information. Our collection and use of personal information is as provided in our Privacy Policy

2. Information About Us and How To Contact Us

2.1. We are Uniti Limited a company registered in the island of Jersey with registration number 133453. Our registered office is at 1st Floor, 3 Mulcaster Street, St. Helier, JE23NJ, Jersey.

2.2. The Uniti Platform offers an online venue that enables users (“Members”) to publish, offer, search for, and book Services. Members who:

2.2.1. Publish and offer Opportunities are “Voluntary Organisations”;
2.2.2. Search for, book, or accept the Opportunities are “Volunteers”;
2.2.3. Are corporate entities who employ Volunteers and enable them to undertake Opportunities as part of their employment and search for, book, or accept the Opportunities on behalf of the Volunteers they employ are "Corporate Members".


2.3. Voluntary Organisations offer volunteer Opportunities, activities, and events (together the“Opportunities” and each Opportunity offering, a “Listing”). You must register an account to access and use many features of the Uniti Platform and must keep your account information accurate. As the provider of the Uniti Platform, Uniti does not own, control, offer or manage any Listings or Opportunities. Uniti is not a party to the contracts concluded directly between the Voluntary Organisations and Volunteers and/or Corporate Members, nor is Uniti acting as an agent in any capacity for any Member.

2.4. We maintain other terms and policies that supplement these Terms like our Privacy Policy, which describes our collection and use of personal data and our Corporate MemberAgreements which govern any payment to be made to Uniti by Corporate Members ("Payments").

2.5. How to contact us. You can contact us by writing to us at digital@uniti.life and at Uniti Limited, 3 Mulcaster Street, St Helier, Jersey JE2 3NJ.

2.6. How we may contact you. If we have to contact you, we will do so by writing to you at the email address provided to us during the on-boarding process.

2.7. "Writing" includes emails. When we use the words "writing" or "written" in these Terms, this includes emails.

3. Our Contract With You

General

3.1. We only offer our Services within the island of Jersey and the island of Guernsey. Our website is solely for the promotion of our Services within the island of Jersey and the island of Guernsey. Unfortunately, we do not currently accept bookings from addresses outside the island of Jersey or the island of Guernsey. If you wish to explore opportunities outside Jersey, please do contact us separately using the contact details above.

3.2. License. Subject to your compliance with these Terms, Uniti grants you a limited, non exclusive, non-sub-licensable, revocable, non-transferable license to:

(i) access and use the Uniti Platform on your personal device solely in connection with your use of the Services; and
(ii) access and use any Content, information and related materials that may be made available through the Services, in each case solely for your personal, use. Any rights not expressly granted herein are reserved by Uniti.


3.3. How your booking with be accepted. The acceptance of your booking will take place once you have clicked "Sign up" on the Opportunity page of the app. At the same time, a contract will come into existence between you and the relevant Member. This contract is subject to the cancellation policy and may be cancelled by either Member upon the terms of the cancellation policy which is available in the attached pack.

3.4. The Voluntary Organisation will review the booking, including your suitability for the Opportunity.

3.5. If the Voluntary Organisation cancels your booking. If the Voluntary Organisation cancels your booking, we will inform you of this in writing.

3.6. If the Volunteer cancels the booking. The Volunteer may cancel the booking in accordance with the terms of the cancellation policy which is available is available in the attached pack.Volunteer Organisation specific terms

3.7. How we will accept your Listing. Our acceptance of your Listing will take place when we email you to accept it.

3.8. Your Opportunity Listing number. We will assign an Opportunity Listing number to yourOpportunity and tell you what it is when we accept your Opportunity Listing. It will help us if you can tell us the Opportunity Listing number whenever you contact us about your Listing.Corporate specific

3.9. Please refer to the terms of your Corporate Member Agreement which shall apply to our relationship with you.

4. Our Services

4.1. General

4.1.1. We offer a platform, the Uniti Platform, that enables Members to:

(a) publish Listings, offer, search for, and book Opportunities;
(b) keep records of bookings and Listings;
(c) remotely monitor Opportunities booked using the Uniti Platform;
(d) receiving and dealing with feedback, questions on complaints from Members.together, the "Services".


4.1.2. When Members make or accept a booking, they are entering into a contract directly with each other. Uniti is not and does not become a party to or other participant in any contractual relationship between Members. Uniti is not acting as an agent for any Member. While we work hard to ensure our Members have great Opportunities using Uniti, we do not and cannot control the conduct or performance of Volunteers,Corporate Members and Voluntary Organisations and do not guarantee

(i) the existence, quality, safety, suitability, or legality of any Listings or Opportunities or
(ii) the truth or accuracy of any Listing descriptions provided by Members.


4.1.3. You acknowledge that Uniti has no general obligation to monitor the use of the Uniti Platform and verify information provided by our Members, but has the right to review, disable access to, remove, or edit Content in its sole discretion and as it deems fit to:

(i) operate, secure and improve the Uniti Platform (including for fraud prevention, risk assessment, investigation and customer support purposes);
(ii)ensure Members’ compliance with these Terms;
(iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body;
(iv) address Member Content that we determine is harmful3or objectionable;
(v) take actions set out in these Terms; and
(vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria. Where we remove or disable Content, we will notify a Member and provide the reasons for such a measure, unless such notification would
(i) prevent or impede the detection or prevention of fraud or other illegal activities,
(ii) harm the legitimate interests of other Members or third parties, or
(iii) contravene applicable laws. Members agree to cooperate with and assist Uniti in good faith, and to provide Uniti with such information and take such actions as may be reasonably requested by Uniti with respect to any investigation undertaken by Uniti regarding the use or abuse of the Uniti Platform.


4.2. Individual Volunteer and Corporate Member specific terms

4.2.1. Searching and Booking on the Uniti Platform

(a) Booking

(i) For Corporate Members only: when you book a Listing, you are agreeing to pay all charges for your booking. When you receive the booking confirmation, a contract for Services (sometimes called a reservation in these Terms) is formed directly between you and the Voluntary Organisation. Any rules, standards, policies, procedures or requirements identified in the Listing form part of your contract with the Voluntary Organisations.
(ii) For both Corporate Members and Volunteers: A Booking is a limited permission to undertake voluntary work for the relevant Voluntary Organisation as specified in the Listing and subject to the terms of the Listing and any other documentation provided to you by the Voluntary Organisation in accordance with your contract directly with them.

The Voluntary Organisation retains the right to require you to adhere to additional terms and conditions to the extent:

(i) it is reasonably necessary,
(ii) permitted by your contract with the Voluntary Organisation, and
(iii) consistent with applicable law.

The Voluntary Organisation has the right to require you to behave and act to a standard and in a manner consistent with your contract with them and to applicable law, including all relevant policies and procedures and ancillary requirements.

(b) Bookings for OpportunitiesAn Opportunity booking entitles you to participate in, attend, or undertake that Opportunity.You are responsible for confirming that You, and in the case of a Corporate Member, your employee, meet the minimum age, proficiency, fitness, or other requirements of theVoluntary Organisation. You are responsible for informing the Voluntary Organisation of any medical or physical conditions, or other circumstances that may impact your ability to participate, attend, or undertake the Opportunity. Except where expressly authorised by the relevant Voluntary Organisation, you may not allow any person to join an Opportunity. Any such additional person will participate outside of the terms of the arrangement between you and Uniti and Uniti will have no rights or obligations in relation to such person.

(c) Booking Modifications

Voluntary Organisations, Volunteers and Corporate Members are each responsible for any booking or Listing modifications they agree to make via the Uniti Platform ("BookingModifications").

(d) Your Responsibilities and Assumption of Risk.

(i) You are responsible and liable for your own acts and omissions and in relation to Corporate Members, Corporate Members are also responsible for the acts and omissions of any Volunteers employed by them during usual work hours. For example, this means:
(i) you are responsible for arriving at the Opportunity at the appropriate time, dressed in the appropriate attire, and
(ii) you must act with integrity, comply with all relevant Voluntary Organisation requirements, policies and procedures, treat others with respect, and comply with applicable laws at all times.


(ii) You are responsible for adhering to the Uniti Platform rules.
(iii) Your Assumption of Risk. You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your participation in the Opportunity and use of the Uniti Platform and any Content or any other interaction you have with other Members whether in person or online. This means it is your responsibility to investigate a Voluntary Organisation to determine whether it is suitable for you as a Volunteer or for your employees who will act as Volunteers in the case of Corporate Members. For example, Opportunities may carry health and safety risks, risk of illness, bodily injury, disability, or death, and you freely and wilfully assume those risks by choosing to participate in those Opportunities.


4.3. Voluntary Organisation specific terms

4.3.1. Listing

As a Voluntary Organisation, Uniti offers you the opportunity to share your Listing for a volunteering experience, opportunity or vacancy with the Uniti community to provide you with access to and engagement with a greater pool of volunteer talent and to facilitate your administration and record keeping of volunteers by managing, tracking and overseeing the Opportunity. Creating a Listing for an Opportunity is easy, and you are able to set the terms and requirements for both the Opportunity and the type of Volunteer that you are looking for including location, available hours and language skills. Voluntary Organisations should conduct a risk assessment before completing a Listing to ensure that they have established the appropriate skills and requirements that a Volunteer needs to participate in a certain Opportunity. Where the risk assessment identifies a requirement for the Volunteer to undertake any activity which requires a level of physical fitness e.g. manual labour or a level of numerical or literacy skills, this must be expressly stated in the Listing so that a Volunteer can determine whether an Opportunity would be appropriate for them.

4.3.2. Contracting with Volunteers

When you accept a Volunteer to fulfil a Listing or receive a booking confirmation through the Uniti Platform, you are entering into a contract directly with theVolunteer, and are responsible for delivering your Opportunity under the terms specified in your Listing. Any terms, policies or conditions that you include in any supplemental contract, policies and products and other ancillary documentation with Volunteers must:

(i) be consistent with these Terms, our Policies, and the information provided in your Listing, and
(ii) be prominently disclosed in your Listing description and uploaded to include on the Listing. Uniti is committed to promoting the principle of equal opportunities in the recruitment of Volunteers by Voluntary Organisations using the Uniti Platform.

Voluntary Organisations should actively promote equal opportunities and ensure that the selection of Volunteers is made on the basis of objective criteria.

4.3.3. Independence

Your relationship with Uniti is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of Uniti. Uniti does not direct or control your Opportunity or Listing and you agree that you have complete discretion whether and when to provide the Opportunity the Listing and at what times and on what terms.

4.3.4. Managing Your ListingCreating and Managing Your Listing. The Uniti Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about:

(a) the description of the activities of the Voluntary Organisation together with a website;
(b) an accurate description of the activities and role comprising the Opportunity;
(c) an accurate specification about the activities and role comprising theOpportunity;6
(d) your rules or requirements including as to hours required, location dress code;
(e) the Volunteers sought including in terms of skills and qualifications sought e.g. language skills, interpersonal skills, experience required, CRB checks, first aid certification;
(f) all policies, procedures and other ancillary documents that apply to theVoluntary Organisation;
(g) any other general information relevant to the Opportunity or Listing.

You are responsible for keeping your Listing information (including calendar availability) and content (like policies and procedures)
up-to-date and accurate at all times. We recommend that you obtain appropriate insurance for your organisation and suggest you carefully review policy terms and conditions. You may make multiple Listings provided that there is one listing per Opportunity.

4.3.5. Know Your Legal Obligations

You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Opportunity. For example: employment law, manpower licences and filings, health and safety requirements, safeguarding training etc.

4.3.6. You should independently confirm your obligations.

You are responsible for handling and using personal data of Volunteers or relevant to persons connected with Corporate Members and others in compliance with applicable privacy laws and these Terms, including our Privacy Notice. If you have questions about how laws apply you should always seek legal advice.

4.3.7. Search Ranking

The ranking of Listings (if any) in search results on the Uniti Platform depends on a variety of factors, including these main parameters:

(a) search parameters (e.g. time and duration of the Opportunity)

4.3.8. Your Responsibilities

You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Opportunity. You are responsible for establishing any relevant conditions, rules and requirements for your Listing and for adhering to the Uniti Platform rules.

4.3.9. Your Assumption of Risk

You acknowledge that working with the Volunteers carries inherent risks and agree that you assume the entire risk arising out of or in connection with the Opportunity, or any interaction you have with other Members whether in person or online. You agree that you have had the opportunity to investigate the Uniti Platform and any laws, rules, regulations, or obligations that may be applicable to your Listings or Opportunities and that you are not relying upon any statement of law made by Uniti.

5. Content

Parts of the Uniti Platform may, at Uniti's sole discretion, enable you to provide feedback, text, upload documents (such as policies and procedures and ancillary documents) and other content (collectively, “Content”). By providing Content, in whatever form and in whichever Member capacity and through whatever means, you grant Uniti a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable and transferable license to copy, modify, prepare derivative works of, distribute, publish and otherwise exploit, that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. You are solely responsible for all Content that you provide and warrant that you either own it or are authorised to grant Uniti the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Non-discrimination Policy (if any), which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content.

You are responsible for obtaining the data network access necessary to use the Services.Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Uniti Platform and any updates thereto. Uniti does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

6. Uniti Platform Rules

6.1. You agree to follow the following rules of the Uniti Platform and must not help or induce other Members to break or circumvent these rules.

- Act with integrity and treat others with respect

o Do not lie, misrepresent something or someone, or pretend to be someone else.
o Be polite and respectful when you communicate or interact with others.
o Follow our Non-discrimination Policy and do not discriminate against or harass others.


- Do not scrape, hack, reverse engineer, compromise or impair the Uniti Platform

o Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the Uniti Platform
o Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Uniti Platform orContent.
o Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the Uniti Platform.
o Do not take any action that could damage or adversely affect the performance or proper functioning of the Uniti Platform.

- Only use the Uniti Platform as authorised by these Terms.

o A Corporate Member may only use another Member’s personal information as necessary to facilitate a transaction using the Uniti Platform as authorised by these Terms.
o Do not use the Uniti Platform, our messaging tools, or Members’ personal information to send commercial messages without the recipient’s express consent.
o You may use Content made available through the Uniti Platform solely as necessary to enable your use of the Uniti Platform as a Member.
o Do not use Content unless you have permission from the Content owner, or the use is authorised by us in these.
o Do not use, copy, display, mirror or frame the Uniti Platform, any Content, any Uniti branding, or any page layout or design without our consent.

- Understand and honour your legal obligations

o Understand and follow the laws that apply to you, including privacy and data protection. If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and(iii) authorize us to process that information under our Privacy Policy.
o Read and follow our Terms, Policies and Notices.
o Do not use the name, logo, branding, or trademarks of Uniti or others without permission.
o Do not offer Opportunities that violate the laws or agreements that apply to you.


6.2. If you believe that a Member, Listing or Content poses an imminent risk of harm to a person, you should immediately contact local authorities before contacting Uniti. In addition, if you believe that a Member, Listing or Content has violated our rules, you should report your concerns to Uniti. If you reported an issue to local authorities, Uniti may request a copy of that report. Except as required by law, you agree that we are not obligated to take action in response to any report.

7. Our Rights to Make Changes to the Uniti Platforms

7.1. We may make minor changes to the Uniti Platform from time to time to:

7.1.1. reflect changes in relevant laws and regulatory requirements; and
7.1.2. simple minor technical adjustments and improvements, for example to address a security threat. These changes will not affect your use of the Uniti Platform.


7.2. We may make more significant changes to the Uniti Platform from time to time for example to include new services or functionality. In such circumstance, we will inform you via information on our website and in writing by email.

8. Providing the Service - Member Accounts

8.1. You must register an account to access and use many features of the Uniti Platform. Our Services shall commence from the date of registration of an account.

8.2. Registration is only permitted for legal entities, partnerships and natural persons who are 18 years or older.

8.3. You represent and warrant that you are not a person or entity barred from using the Uniti Platform under the laws of the island of Jersey, the island of Guernsey, or any other applicable jurisdiction.

8.4. You must provide accurate, current, and complete information during registration and keep your account information up to date. Your failure to maintain accurate, complete, and up-to-date Account information may result in your inability to access and use the Services or Uniti's termination of this agreement with you.

8.5. You may not register more than one account and you may not transfer your account to someone else.

8.6. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party.

8.7. You are responsible and liable for activities conducted through your account and must immediately notify Uniti if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised.

8.8. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times.

8.9. You will be required to provide the following documentation:
(i) identification verification documentation or other information that we require to confirm who you are; and
(ii) a reference from a previous employer or voluntary organisation


8.10. In addition to the documentation and information required above, the Voluntary Organisation may also require us to carry out the following in relation to each Volunteer:
(i) undertake checks designed to help verify the Volunteer identity or background;
(ii) screen theVolunteer against public databases or other public sources and request reports from service providers; and
(iii) require you to obtain and provide a disclosure and barring service report.


8.11. Any documentation or information you provide to us, or which has been obtained about you by us, will be processed in accordance with paragraph 9 below.

8.12. Emails

By creating a member account you agree that we may send you emails as part of the normal business operation of your use of the Services.

9. Data Protection

9.1. This paragraph 9 applies to personal data provided to Uniti (via the Uniti Platform or otherwise) by a Member, either for themselves or in respect of a volunteer or employee connected to a Voluntary Organisation or Corporate Member (for the purposes of this paragraph, a "Relevant Individual"), or which is collected or generated by Uniti in the course of conducting its business and providing the Services. In this paragraph, any words and phrases defined in the Data Protection (Jersey) Law 2018 and the Data Protection(Bailiwick of Guernsey) Law, 2017 (the "Data Protection Laws") shall bear the same meaning ascribed to them in the relevant Data Protection Laws. Where any personal data is shared by Uniti with a Voluntary Organisation for the purposes of providing the Services in accordance with these Terms, the personal data shall fall to be processed under the terms of the Privacy Notice with the relevant Voluntary Organisation.

9.2. In the course of providing the Services, we may collect and process your Personal Data and the Personal Data of Relevant Individuals, in accordance with the Uniti Privacy Notice and as set out in these Terms and in particular for:

9.2.1. the provision of the Services and any purpose ancillary to the provision of ourServices (including, without limitation performing appropriate identification checks,Member account and Opportunity management); and/or
9.2.2. otherwise in connection with Uniti's business (including, without limitation in connection with marketing, business development, know how, credit control and debt management, analysis of the Uniti business and generation of internal reports and accounts and assessment of legal and financial risks to the Uniti business).


9.3. The Privacy Statement is available on the (https://uniti.life/privacy-policy) or on request by writing to us at admin@uniti.life.

9.4. Uniti shall not use any Personal Data or privileged or confidential information relating to you or to any matter handled by us on your behalf ("Information"), unless and except if:

(a) it is for the purposes of performing our obligations under these Terms e.g. sharing Member personal data with a Voluntary Organisation in connection with an Opportunity;
(b) such use is permitted under these Terms;
(c) Uniti otherwise has the your prior written consent to do so;
(d) Uniti considers it appropriate in the proper conduct of the matter;
(e) suchInformation is already in the public domain; or
(f) Uniti is required or permitted to do sounder or in connection with any legislation or rules of a professional body with jurisdiction over it, or by a governmental, judicial or regulatory authority.


9.5. Uniti may disclose Information to:

(i) Volunteer Organisations, including Shared PersonalData;
(ii) credit reference or fraud prevention agencies, which may retain a record of the Information disclosed to it;
(iii) service providers that provide services to Uniti or the Volunteer Organisations (including, without limitation, data protection officers, lawyers, insurers, auditors and advisers and providers of telecommunications and computing facilities); and
(iv) to third parties for marketing purposes and/or business development purposes where specifically permitted under these Terms or where you have provided prior written authorisation for such disclosure. Uniti shall not, however, disclose personal data to any third party or allow any third party to use such data other than in compliance with theData Protection Laws and the conditions stated in this paragraph 9.


9.6. Uniti may outsource any part of the Services to third party service providers. In this event, Uniti shall at all times comply with applicable Data Protection Laws, the Privacy Notice and shall not transfer any Personal Data to, or process the personal data in, any country outside the European Economic Area, the UK, Jersey and/or Guernsey except in accordance withData Protection Laws. Uniti shall limit the Personal Data provided to such third-party service providers to that which is necessary for the third-party service provider to perform the outsourced services.

9.7. Uniti will take appropriate technical and organisational steps to protect against unauthorised or unlawful processing of Personal Data and accidental loss or destruction of, or damage to, Personal Data.

9.8. You warrant and represent that when providing Personal Data on behalf of or in relation to aRelevant Individual, you have received any necessary consents or other authority to provide that Personal Data and that you will make the Privacy Statement available to each RelevantIndividual and draw their attention to it.

9.9. Where required by the Voluntary Organisation for the purposes of an Opportunity, each employee connected to a Corporate Member hereby undertakes to procure a disclosure and barring service check.

9.10. Uniti shall not be liable to any Relevant Individual for any losses or damage where it has exercised its rights or obligations to disclose or withhold information pursuant to lawful order or otherwise in accordance with any relevant legislation to which it is subject.

10. Cancellation of Booking or Listing

10.1. You may cancel your booking or Listing prior to the date of the Opportunity in accordance with the Cancellation Policy.

10.2. We may cancel your booking if any Corporate Member fees connected to a Volunteer remain unpaid. We will not be responsible for any losses caused by us cancelling any booking.

10.3. We may have to cancel bookings or Listings or suspend Member accounts to:

10.3.1. deal with technical problems or make minor technical changes;
10.3.2. update the product to reflect changes in relevant laws and regulatory requirements;
10.3.3. make changes to the Uniti Platform.


10.4. We will contact you in advance to tell you we will be suspending your access to the Uniti Platform, unless the problem is urgent or an emergency or we are prevented from doing sounder applicable law. You may contact us to terminate the contract if we suspend it, or tell you we are going to suspend it, in each case for a period of more than 1 week.

11. Termination - Your Rights to End the Contract

11.1. Term The agreement between you and Uniti as reflected by these Terms is effective when you access the Uniti Platform (for example to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

11.2. Termination

11.2.1. You may terminate this agreement at any time by sending us an email or by deleting your Member account.
11.2.2. Uniti may terminate this agreement and your Member account:


(a) for any reason by giving you 30 days’ notice via email or using any other contact information you have provided for your account.;(b) immediately and without notice and stop providing access to the Uniti Platform if you breach these Terms, you violate our Policies, you violate applicable laws, or we reasonably believe termination is necessary to protect Uniti, its Members, or third parties. If your account has been inactive for more than two years, we may terminate your Member account without prior notice; or
(c) If you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the products, for example, the documentation and information set out in Condition 8s above.


11.2.3. If:

(i) you breach these Terms, our Policies, or our Standards,
(ii) you violate applicable laws, regulations, or third-party rights, or
(iii) Uniti believes it is reasonably necessary to protect Uniti, its Members, or third parties; Uniti may, with or without prior notice:
(a) suspend or limit your access to or use of the Uniti Platform and/or your account;
(b) suspend or remove Listings, or other Content;
(c) cancel pending or confirmed bookings.


11.3. Legal Mandates

Uniti may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above.

11.4. Effect of Termination

Any confirmed booking(s) or Listings will be automatically cancelled. When this agreement has been terminated, you are not entitled to a restoration of your account or any of yourContent. If your access to or use of the Uniti Platform has been limited, or your Member account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Uniti Platform through an account of another Member.

11.5. Survival

Parts of these Terms that by their nature survive termination, will survive termination of this agreement.

13. Disclaimer

13.1. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. FOR EXAMPLE:

(I) WE DO NOT ENDORSE OR WARRANT THE EXISTENCE, CONDUCT, PERFORMANCE, SAFETY, QUALITY, LEGALITY OR14SUITABILITY OF ANY MEMBER, LISTING, OPPORTUNITY OR THIRD PARTY;
(II) WE DONOT WARRANT THE PERFORMANCE OR NON-INTERRUPTION OF THE UNITI PLATFORM; AND
(III) WE DO NOT WARRANT THAT VERIFICATION, IDENTITY OR BACKGROUND CHECKS CONDUCTED ON LISTINGS OR MEMBERS (IF ANY) WILL IDENTIFY PAST MISCONDUCT OR PREVENT FUTURE MISCONDUCT.


ANY REFERENCES TO A MEMBER OR LISTING BEING "VERIFIED" (OR SIMILAR LANGUAGE) INDICATE ONLY THAT THE MEMBER OR LISTING OR UNITI HAS COMPLETED A RELEVANT VERIFICATION OR IDENTIFICATION PROCESS AND NOTHING ELSE. UNITI DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, UNITI MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES OR ANY SERVICES REQUESTED THROUGH THE USE OF THE UNITI PLATFORM, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. UNITI DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD-PARTY PROVIDERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OFTHE SERVICES, AND ANY SERVICE OR OPPORTUNITY IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

14. Limitation of Liability

14.1. UNITI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY,PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA,PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH,OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF UNITI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNITI SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF:

(I) YOUR USEOF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS THE UNITI PLATFORM OR USE THE SERVICES; OR
(II) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD-PARTY PROVIDER, EVEN IF UNITI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


UNITI SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND UNITI'S REASONABLE CONTROL. IN NO EVENT SHALL UNITI'S TOTAL LIABILITY TOYOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED FIVE HUNDRED POUNDS STERLING (£500).

14.2. THE LIMITATIONS AND DISCLAIMER IN THIS SECTION DO NOT PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

15. Indemnity

15.1. You agree to indemnify and hold Uniti and its officers, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, damage, costs and expenses(including legal fees) arising out of or in connection with:

(i) your use of the Uniti Platform or Services obtained through your use of the Services;
(ii) your breach or violation of any of these Terms;
(iii) any act, omission negligence, fraud or other wilful default on your part;
(iv) Uniti's use of your Content; or
(v) your violation of the rights of any third-party costs suffered, sustained or incurred by Uniti including reputational damage.

16. How We May Use Your Personal Information

17. Other Important Terms

17.1. This contract is between you and us. No other person shall have any rights to enforce any of its terms.

17.2. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

17.3. If we do not insist immediately that you do anything you are required to do under theseTerms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you, but we continue to provide the products, we can still require you to make the payment at a later date.

17.4. These terms are governed by the laws of the island of Jersey, and you can bring legal proceedings in respect of the Terms in the Jersey courts.

17.5. Other terms incorporated by reference include those set out in the Uniti policies from time to time including but not limited to our privacy policy or cancellation policy.

17.6. You will receive administrative communications from us using the email address or other contact information you provide for your Member account. Enrolment in additional email subscription programs will not affect the frequency of these administrative emails, though you should expect to receive additional emails specific to the program(s) to which you have subscribed. You may also receive promotional emails from us.
